Code of Business Conduct

With the advancing globalization of business, the effects of corporate activities on people and the environment are growing day by day, and consequently, companies are being held to increasingly strict standards of corporate social responsibility. Against this background, the Noritake Group drew on the fundamental principles set by its founder and formulated its Ethics Standards for all Group companies and each Group executive and employee to observe and put into practice. The Standards of Business Conduct was then established to provide specific guidelines for applying these ethical standards in daily business activities.

Ethics Standards

When conducting the Noritake Group's business activities, all Group companies and each Group executive and employee shall observe and put into practice the following fundamental ethical principles:

Put into practice Noritake's corporate motto of "Good Quality, Exports and Co-prosperity"

In accordance with the Company's corporate motto, "Good Quality, Exports and Co-prosperity," Noritake shall give full consideration to the safety of its excellent products and services that it develops and offers around the world. In this manner, the Group can grow with its customers and contribute to society as a good corporate citizen.

Observe the laws, regulations and conventions of society

Observing society's laws, regulations and conventions, Noritake shall demonstrate fairness, transparency, and free competition while striving to exercise good judgment in the execution of its business activities. Moreover, and without exception, the Group shall not associate with antisocial forces or organizations that obstruct sound business practices.

Respect the human rights of employees

Noritake shall respect the fundamental human rights of its employees, and engage in no practices of unfair discrimination. Furthermore, the Group shall safeguard employees' health while maintaining a safe and hygienic working environment.

Preserve the global environment and contribute to affluent and comfortable local communities

Noritake shall do its utmost to help preserve the global environment against deterioration from maximized usage and depletion of finite natural resources. At the same time, the Group will contribute to creating local communities that offer abundant and comfortable lifestyles.

Disclose information to shareholders, customers and local communities

Noritake shall actively and impartially disclose corporate information not only to its shareholders but also to society as a whole.

Standards of Business Conduct

1. Conduct of Business Activities

1. Fairly engage in free competitionNoritake shall compete in the marketplace on a sales basis through the overall competitiveness of its products and services. In observing relevant laws and regulations, Noritake shall not engage in activities that restrict fair and free competition, or actions that give rise to mistrust.
2. Ensure product safetyIn order to ensure product safety, Noritake shall guard against product defects and mishandling so that no damage is caused to the life, health or property of customers and product users.
3. Prevention of extended damages and reoccurrence of crisesIn the event the Company's products or services cause an accident or a crisis situation, Noritake shall promptly release relevant information to consumers, and take swift and appropriate actions to minimize the extent of damages or harm. As a preventive measure, Noritake shall perform a thorough investigation of the causes of the accident or crisis situation for the purpose of preventing their possible reoccurrence.
4. Maintain sound relations with business associates
   1. Relations with clients
      When entertaining and presenting gifts to clients, Noritake shall consider social norms and appropriate commercial practices.
   2. Relations with suppliers
      Noritake shall choose the most suitable suppliers, and the terms and conditions of transactions with suppliers shall be fair and impartial.
   3. Relations with public officials
      When dealing with public officials, Noritake shall respect and observe all relevant laws and regulations, and never act outside the bounds of such laws and regulations.
5. Observe relevant laws and regulationsNoritake shall conduct sound business activities in a just manner, observing all laws and regulations relevant to its business, and taking preventive measures against activities that may violate such laws and regulations.
6. Protect intellectual property rightsNoritake shall do its utmost to establish and protect intellectual property rights for its industrial property, copyrights, know-how, and trade secrets concerning technology and operations. In turn, Noritake shall not infringe upon the intellectual property rights of other companies.

1. Preserve and sustain the global environmentNoritake will respect the fundamental human rights of its employees, and engage in no practices of unfair discrimination based on age, gender, or other categories. Furthermore, Noritake will diligently protect the privacy of individuals and handle personal data with great care.
2. Safeguard employees·health and maintain a safe and hygienic working environmentNoritake shall safeguard the health of its employees while maintaining a safe and hygienic working environment. Furthermore, the Company shall not permit actions that cause discomfort in the workplace, such as sexual harassment.

3. Relationship with Society

1. Preserve and sustain the global environmentIn order to protect the global environment, Noritake shall offer the public products and services that are friendly to both people and the environment.
2. Charitable, political and religious activities
   1. Charitable activities
      In its charitable activities, Noritake may donate to organizations it regards as having worthy causes and legitimacy.
   2. Political activities
      With regards to political activities, Noritake shall adopt a neutral stance.
   3. Religious activities
      With regards to religious activities, Noritake shall adopt a neutral stance.
3. Disassociation from anti-social forces Noritake shall not associate with any individual or organizations that potentially obstruct social order or sound business practices.
4. Disclosure of corporate informationNoritake shall disclose accurate information in an appropriate and timely manner to shareholders, customers, local communities and other parties, in accordance with relevant laws and regulations.
